Job Overview:
A Philadelphia-based law firm is seeking a seasoned attorney with 5 to 8 years of post-qualification experience to join its expanding tax team, with a specific emphasis on transactions in the renewable energy sector. This role offers the opportunity to advise a variety of industry players-including project sponsors, tax equity investors, utilities, and lenders-on complex federal tax matters related to financing and M&A deals involving solar, wind, storage, and carbon capture initiatives. The position is embedded within a nationally recognized tax and benefits practice and provides extensive cross-office collaboration and client engagement.

Duties:

  • Advise clients on federal income tax issues arising from renewable energy project developments, including tax credit qualification and monetization.

  • Draft and negotiate transactional documents, including tax equity and partnership agreements.

  • Provide tax structuring support for M&A deals in the energy sector.

  • Prepare and review legal opinions on tax-related matters.

  • Collaborate closely with attorneys in project finance, corporate, and regulatory teams.

  • Engage in thought leadership, including speaking and publishing on relevant tax issues.

  • Contribute to internal training and professional development initiatives.

  • Maintain client relationships through clear, solution-oriented counsel and communication.

Requirements:

  • 5-8 years of substantive experience in transactional tax law.

  • Proven work with clients in the energy industry, especially on renewable or low-carbon projects.

  • Exposure to tax equity structures, including partnership flip, sale-leaseback, and inverted lease models.

  • Experience collaborating with clients such as utilities, sponsors, and institutional investors.

  • Prior experience drafting tax-related opinions and reviewing complex contracts.

Education:

  • Juris Doctor (J.D.) from an accredited U.S. law school.

Certifications:

  • Active license to practice law and in good standing in the Commonwealth of Pennsylvania.

Skills:

  • Strong drafting, analytical, and research capabilities.

  • Excellent communication and client interaction skills.

  • Familiarity with partnership tax concepts and Subchapter K.

  • Ability to manage multiple projects and deadlines with minimal supervision.

  • Comfortable in a collaborative and cross-disciplinary team environment.
