Mid-Level Corporate Associate Attorney

A law firm seeks a talented Mid-Level Corporate Associate Attorney with 3-5 years of experience in diverse corporate and transactional matters, particularly in capital markets. The ideal candidate will have a background in public company work and registered equity offerings, with a preference for experience or interest in life sciences companies. This role requires strong teamwork abilities and the capacity to manage significant transactional components independently.

Duties:

• Conduct legal research and analysis related to corporate and transactional matters.
• Draft and review legal documents, including agreements, contracts, and transactional documents.
• Assist in due diligence processes for corporate transactions.
• Provide legal advice and counsel to clients on various corporate matters.
• Support senior attorneys in managing transactions and client relationships.
• Collaborate with cross-functional teams to achieve client objectives.

Requirements:

• 3-5 years of corporate law experience, focusing on capital markets.
• Experience in public company work and registered equity offerings, including IPOs and follow-on offerings.
• Interest or experience in life sciences companies is preferred.
• Strong academic credentials from a reputable law school.
• Admitted to the Bar or eligibility to obtain prompt admission in California.
• Excellent written and verbal communication skills.

Education & Certifications:

• Juris Doctor (J.D.) degree from an accredited law school.
• Relevant Bar admission in California or eligibility to obtain admission promptly.
