Job Title: Corporate Mergers & Acquisitions/Private Equity Associate Attorney

Job Location: Boston, MA

Job Overview:
A prestigious law firm is looking for a Corporate Mergers & Acquisitions/Private Equity Associate Attorney to join its team. The ideal candidate will have at least 2 years of experience in mergers & acquisitions and/or private equity and will be involved in providing strategic counsel and legal advice on complex corporate transactions. This role offers the opportunity to work on high-profile cases and collaborate with a team of seasoned professionals.

Duties:

  • Represent clients in corporate transactions, including mergers, acquisitions, and private equity deals.

  • Draft, review, and negotiate complex agreements and legal documents related to M&A and private equity transactions.

  • Conduct legal research and analysis, providing well-rounded insights into industry regulations, market trends, and deal structures.

  • Coordinate and manage client communications, keeping clients informed on the progress and risks associated with their transactions.

  • Collaborate with other legal professionals and external stakeholders to ensure smooth execution of corporate transactions.

  • Ensure compliance with all legal, regulatory, and internal policies throughout the lifecycle of each transaction.

Requirements:

  • Minimum of 2 years of relevant experience in M&A and/or private equity law.

  • Strong understanding of corporate governance and commercial contract law.

  • Ability to manage multiple complex projects simultaneously and under tight deadlines.

  • Excellent written and verbal communication skills, with the ability to convey complex legal concepts understandably.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active and good standing Bar membership in the state where practicing (preferably in Massachusetts or eligibility to waive in).

Skills:

  • Proficient in corporate transactions, mergers & acquisitions, and private equity law.

  • Strong negotiation and drafting skills.

  • Detail-oriented with exceptional organizational skills.

  • Ability to work independently as well as collaboratively within a team.
